REGULATION
on the Supervisory Board of the Platform
‘The Implementation of the
Ukraine–European Union Association Agreement Standards
on the Effective and Balanced Use of Natural Resources’

SECTION 1. GENERAL PROVISIONS

The Supervisory Board is the managing body of the Platform, the activity of which is governed by this Regulation.

The Supervisory Board manages and coordinates activity of the Platform, provides expert support of programs and projects within the frames of the Platform.

SECTION 2. MAIN OBJECTIVES AND TASKS OF THE SUPERVISORY BOARD

2.1.The main objectives of activity of the Supervisory Board are:

2.1.1.Determination of strategic areas of activity of the Platform;

2.1.2. Determination of priorities for development of the Platform and alignment of them with the interests of society, government agencies and business.

2.2. The main tasks of activity of the Supervisory Board are:

2.2.1. Protection of interests of participants of the Platform;

2.2.2. Approval of development plans of the Platform (including strategic programs, roadmaps, etc.);

2.2.3. Assessment of performance and efficiency of activity of the Platform for achieving strategic objectives.

2.2.4. Support and representation of the Platform's interests in state authorities;

2.2.5. Аrrange conduct of expert examination, review and preparation of expert opinions on projects, programs, business plans submitted by the participants of the Platform or third parties.

SECTION 3. COMPOSITION, ORGANIZATION AND WORKING PROCEDURE OF THE SUPERVISORY BOARD

3.1. The Supervisory Board consists of the Chairman, the Deputy Chairmen, the Secretary and members of the Supervisory Board. The total number of members of the Supervisory Board is not limited.

3.2. The personal composition of the Supervisory Board, the Chairman and his/her deputies shall be determined on the basis of proposals of the Platform members and approved by the resolution of the Platform the Supervisory Board.

3.3. The Secretary of the Supervisory Board shall be appointed by the Supervisory Board upon recommendation of the Chairman of the Supervisory Board.

3.4. The Supervisory Board shall meet when necessary, but at least once a year.

The decision on the necessity and timing of meetings of the Supervisory Board shall be taken by the Chairman of the Supervisory Board.

Any member of the Supervisory Board may submit a proposal to the Chairman of the Supervisory Board to convene a meeting of the Supervisory Board.

3.5. The Supervisory Board shall carry out its activity in the form of in-person meetings or meetings by correspondence, as appropriate.

3.6. The agenda of the meetings of the Supervisory Board shall be prepared by the Secretary of the Supervisory Board and approved by the Chairman of the Supervisory Board at least 10 days before the date of the meeting.

3.7. The members of the Supervisory Board shall be notified by the Secretary of the Supervisory Board of the date, time and place of the meeting, and receive necessary documents on the agenda not later than 7 days before the meeting of the Supervisory Board.

3.8. The meeting of the Supervisory Board shall be deemed to have taken place if the simple majority of the members of the Supervisory Board is present at it.

3.9. The resolutions of the Supervisory Board shall be passed by a simple majority of votes of the members of the Supervisory Board present at its meeting. In case of even distribution of votes, the vote of the chairman at the meeting of the Supervisory Board shall be decisive.

3.10. The resolutions passed by the Supervisory Board shall be represented in the minutes of the meeting to be signed by the Chairman and the Secretary of the Supervisory Board.

SECTION 4. RIGHTS AND DUTIES OF MEMBERS OF THE SUPERVISORY BOARD

4.1. The member of the Supervisory Board shall be entitled to:

4.1.1. Take part in passing resolutions at the meetings of the Supervisory Board by voting;

4.1.2. Receive full information on activities of the Platform from the Supervisory Board;

4.1.3. Suggest issues for consideration at the meeting of the Supervisory Board.

4.2. The members of the Supervisory Board are obliged to observe this Regulation and participate in activities of the Supervisory Board.

4.3. The members of the Supervisory Board may represent the interests of the Platform in state authorities.

4.4. The members of the Supervisory Board are obliged to observe the confidentiality regime when dealing with data of the Platform and its participations.

SECTION 5. PROCEDURE OF FORMATION OF THE SUPERVISORY BOARD

5.1. The Supervisory Board shall be formed from the number and with the consent of the heads of scientific, educational, industrial, service enterprises, institutions and organizations, representatives of interested state authorities, financial, public organizations.

5.2. The composition of the Supervisory Board shall be formed on the basis of proposals of the Platform participants and shall be approved by the resolution of the meeting of the Platform Supervisory Board.

5.3. The term of office of the members of the Supervisory Board is 5 years.

In case if the member of the Supervisory Board is unable to perform his/her duties, the Chairman of the Supervisory Board shall be entitled to admit a new member of the Supervisory Board to the Supervisory Board instead of the terminated member of the Supervisory Board within the term of office of the elected composition of the Supervisory Board.

The Chairman of the Supervisory Board shall nominate a new member proposed by the participant or participants of the Platform, to other members of the Supervisory Board not less than 10 days before the meeting of the Supervisory Board.
